Terms of Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Aureva Capital Private Limited ("Aureva Capital", "we", "us", "our") governing your access to and use of the VestPlus platform and related services ("Services"). Please read these Terms carefully before using the Services.

1. Acceptance of Terms

By accessing or using VestPlus, you agree to be bound by these Terms. If you are using VestPlus on behalf of a company, you represent that you have the authority to bind that company to these Terms.

2. Eligibility

VestPlus is a closed, employer-provisioned platform. Access is granted only to companies registered by Aureva Capital and employees invited by their employers. There is no public self-registration for employee accounts.

3. Services Description

VestPlus enables companies to:

• Configure and manage employee benefit programs backed by SEBI-regulated mutual funds.
• Define vesting schedules, contribution amounts, and payout approval workflows.
• Track investments, cohort retention metrics, and program performance.

VestPlus enables employees to:

• View their employer-funded investment portfolio in real time.
• Track vesting milestones and contribution history.
• Receive notifications on contributions and upcoming vesting events.

4. Investment Disclaimer

All investments on the VestPlus platform are executed through Aureva Capital Private Limited (ARN-346247), an AMFI-registered Mutual Fund Distributor. Mutual Fund investments are subject to market risks, including potential loss of capital, liquidity risk, and market volatility. Past performance is not indicative of future returns. Please read all scheme-related documents carefully before any investment decision is made.

5. User Obligations

• You must provide accurate and complete information during registration and KYC.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must not use the platform for any unlawful purpose or in violation of any applicable regulations.
• You must not attempt to gain unauthorised access to any part of the platform.

6. Employer Responsibilities

Employer accounts are responsible for ensuring that benefit program configurations comply with applicable labour laws, tax regulations, and company policies. VestPlus provides the platform infrastructure; the employer bears responsibility for the program design and employee communications.

7. Intellectual Property

All content, features, and functionality of the VestPlus platform — including but not limited to software, design, trademarks, and branding — are the exclusive property of Aureva Capital Private Limited and are protected by Indian and international intellectual property laws.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Aureva Capital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Services. Our total liability shall not exceed the fees paid by you to Aureva Capital in the twelve months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your access to VestPlus at any time if you breach these Terms or if required by law or regulation. Upon termination, the provisions of these Terms that by their nature should survive will remain in effect.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra. For investor grievances, please use the SEBI SCORES portal or the SMART ODR platform.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or platform notice. Continued use of the Services after changes constitutes acceptance of the revised Terms.
