Institutional FAQ

Frequently asked questions.

Detailed answers regarding our regulatory architecture, Maker-Approver authorization, capital recovery mechanics, and taxation.

1. Legal Structure & Regulatory Governance

What is VestPlus and who operates it?+

VestPlus is an institutional employee retention and wealth platform developed by Aureva Capital Private Limited, an AMFI-registered Mutual Fund Distributor (ARN-346247). Companies use VestPlus to invest in curated mutual fund portfolios that vest over policy-defined employee milestones.

Who legally owns the mutual fund units while they vest?+

The employing company is the legal investor of record. Folios are registered under the company's Unique Client Code (UCC) via exchange clearing infrastructure (NSE / BSE). The assets remain corporate property on the balance sheet until a vesting milestone is approved and redeemed for the employee.

Is there any counterparty or platform risk with VestPlus?+

Zero. VestPlus never acts as an unsegregated custodian or bank. All orders route directly to the respective Asset Management Companies (AMCs) through exchange infrastructure, and units are recorded by statutory RTAs (CAMS and KFin Technologies). If VestPlus ceased operations, all corporate holdings remain safe in your AMC folios.

How are investments cleared and settled?+

Transactions are settled directly between your company's authorized corporate bank account and the exchange clearing corporation (e.g. NSE Clearing Limited / ICCL). VestPlus provides the policy, allocation, and tracking layer without touching client funds.

2. Vesting Schedules & Maker-Approver Governance

What types of vesting schedules can our company configure?+

VestPlus supports custom policy architectures including 1-year to 3-year Cliffs (100% release upon tenure milestone), Graded Vesting (e.g. 25% annually over 4 years), and Custom Milestone Triggers (tied to key project completions, revenue goals, or title promotions).

What is the Maker-Approver authorization workflow?+

To prevent fraud and unauthorized transfers, VestPlus enforces a dual-tier authorization model: an operational Maker (HR administrator) prepares monthly contribution batches and redemption requests, while an authorized Corporate Approver (CFO, Finance Director, or Founder) must digitally approve the transaction before exchange routing.

Can an employee redeem mutual fund units on their own?+

Never. Employees have viewing privileges only. Redemptions can strictly be initiated and authorized by the employer upon verifying milestone compliance under the company's retention policy.

How long does settlement take once a milestone vests?+

Once the Corporate Approver authorizes redemption on VestPlus, mutual fund units are redeemed on the exchange. Proceeds credit directly to the employee's registered bank account within T+2 business days.

3. Financial Accounting, Taxation & Balance Sheet

How are employer contributions treated for corporate tax purposes?+

Employer contributions are accounted for as legitimate corporate business expenditures or employee benefit provisions. Because the assets remain company property until vesting, finance teams maintain full balance sheet control. We recommend consulting your statutory auditor for your specific accounting framework.

How is the employee taxed when fund units vest and pay out?+

Unlike cash bonuses that are immediately hit by maximum slab tax rates (up to 30%+), mutual fund redemptions are treated under prevailing capital gains regulations (e.g. Long-Term Capital Gains on Equity Mutual Funds taxed at 12.5% above the ₹1.25 Lakh exemption limit under Section 112A). Complete transaction statements are generated for filing.

Does VestPlus trigger perquisite tax like traditional ESOPs?+

No. Traditional ESOPs trigger an immediate perquisite tax burden under Section 17(2) upon exercise on the difference between FMV and exercise price — even when shares cannot be sold. VestPlus avoids this trap completely: payouts occur as liquid cash from redeemed mutual funds, so employees only pay tax on funds they actually receive.

What happens during market downturns?+

Because VestPlus allows employers to select Conservative Debt, Balanced Advantage, or Equity Index baskets, companies can choose the risk profile appropriate for their staff. Over 2-to-4 year vesting horizons, structured mutual fund baskets have historically compounded far ahead of inflation.

4. Exits, Resignations & Forfeiture Recycling

What happens if an employee resigns before a vesting milestone?+

100% of the unvested market value returns to the company's designated treasury account. The employer never loses capital to voluntary early departures. The recovered funds can be recycled into your unallocated benefit pool for future hires.

What happens if an employee has partially vested milestones?+

If an employee completed Year 1 (which vested and paid out) but departs mid-way through Year 2, the unvested Year 2 portion is returned to the company, while the completed Year 1 milestone remains with the employee. The platform handles the separation math automatically.

How does VestPlus handle involuntary terminations?+

Your corporate retention policy determines the exit rules. The platform allows administrators to record the nature of separation (resignation, termination for cause, layoff, or retirement) and applies the corresponding policy clause instantly.

5. Employee Experience & Data Privacy

What do employees see on their personal dashboard?+

Employees see their live portfolio market valuation (updated daily with official AMFI NAV), total capital invested by the employer, cumulative percentage gain, and a clear visual timeline of upcoming vesting milestones.

Can employees see other team members' benefit balances?+

Strictly no. Every employee account is completely isolated and secured. Employees only have access to their own individual portfolio and milestone milestones.

Do employees need to contribute any of their own salary?+

No. VestPlus is strictly an employer-funded benefit program. Employees do not make personal salary deductions, co-investments, or upfront fee payments.

How are employees onboarded to the platform?+

The company HR team uploads a roster or invites employees via email. The employee receives a secure verification link, sets their password, and verifies their identity in under 2 minutes.
